Agreement to Terms
These Terms of Service ("Terms") constitute a legal agreement between ShadowGuard, Inc. ("Company," "we," "us," or "our") and you ("User" or "you"). By accessing or using the ShadowGuard platform and related services (the "Service"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.
We may modify these Terms at any time. Changes are effective immediately upon posting to the website. Your continued use of the Service constitutes acceptance of modified Terms.
Use of the Service
You agree to use the Service only for lawful purposes and in ways that do not infringe upon the rights of others or restrict their use and enjoyment of the Service. Prohibited behavior includes:
- Harassing, threatening, or abusing other users
- Attempting to gain unauthorized access to the Service or network systems
- Reverse engineering, disassembling, or decompiling any part of the Service
- Using automated tools to access or scrape data from the Service

Intellectual Property
All content, features, and functionality of the Service (including but not limited to software, logos, trademarks, and documentation) are owned by ShadowGuard, Inc., its licensors, or other providers of such material and are protected by international copyright, trademark, and other intellectual property laws.
You retain all rights to any data you submit to the Service. You grant us a limited license to use, reproduce, and analyze such data solely to provide the Service to you. You may not use our Service, trademarks, or content for any commercial purpose without our prior written consent.
Payment and Billing
If you purchase a paid subscription, you agree to pay all fees and charges that you incur. Billing is charged to the payment method you provide.
- Subscription charges are recurring and will be billed automatically on your renewal date
- You may cancel your subscription at any time; cancellation is effective at the end of your current billing period
- Refunds are provided only within 14 days of initial purchase for annual plans, or within 7 days for monthly plans
- Price changes are effective 30 days after notice; continued use constitutes acceptance
- Late or non-payment may result in suspension of your account and loss of access to the Service
Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, if you violate these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to other users, the Service, or our business.
You may terminate your account at any time by contacting us. Upon termination, we will delete your account data within 30 days, unless we are required by law to retain it.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SHADOWGUARD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO SHADOWGUARD IN THE 12 MONTHS PRIOR TO THE CLAIM, OR $100, WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability, so some of the above limitations may not apply to you.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. You agree that any legal action or proceeding will be brought exclusively in the state or federal courts located in California.
You hereby consent to the personal jurisdiction of such courts and waive any objections to venue or inconvenient forum.
